Approve the Resolution to said contract and authorize the appropriate Town officer to execute said contract.

SUMMARY AND BACKGROUND OF SUBJECT MATTER:

The Saint Vrain Valley School District (District) approached the Town in 2017 seeking to access their property just east of the Red Hawk Elementary school. The Town owns a section of the Leyner Cottonwood Ditch in this area, which includes a culvert for crossing at that location. The District is looking to install a solar array, which will offset electrical consumption at the school. In order to construct the array and for long term maintenance, the culvert will need to be replaced with a more robust structure.

Public Works and Engineering staff have worked closely with the District and their contractors to draft this license agreement, which was drafted by Water Counsel Paul Zilis. In order to keep this project on track, and not jeopardize the associated grants the District has obtained, Town staff requests that the Board authorize the appropriate staff to execute the agreement, substantially in the form of the attached. There may be a few minor edits as we continue to refine the agreement with the District. However the substance of the agreement will remain as currently drafted and protective of the Towns interests in the ditch.
