This resolution assigns a current contract to a new Assignee due to Iconergy Ltd. merging with CEG solutions and as such has minimal policy impacts

SUMMARY/KEY POINTS

                     Iconergy Ltd. merged with CEG Solutions to form Iconergy CEG LLC. The purpose of this Assignment is to replace the current Assignor (Iconergy Ltd.) under the Energy Performance Contract (EPC) and substitute Assignee (Iconergy CEG LLC).

                     The EPC and the First Amendment to EPC (1-EPC) were approved by Council, so the Contract Assignment needs to be approved by Council.

                     The contract is currently in full force and effect, and Assignee (Iconergy CEG LLC) shall perform all duties and fulfill all obligations of the original Contractor (Iconergy Ltd.) under the contract as if it were the original Contractor.

 

BACKGROUND OF SUBJECT MATTER:

                     On May 22, 2023, the Board of Trustees awarded an Energy Performance Contract (EPC) to Iconergy Ltd.

                     On June 24, 2025, Council approved the First Amendment (1-EPC) to the Energy Performance Contract (EPC) with Iconergy Ltd.

                     On Sept. 30, 2025, Iconergy Ltd. merged with CEG Solutions, forming Iconergy CEG LLC.

                     The agenda item currently before Council is a resolution approving the assignment of the EPC contract Iconergy CEG LLC.
