SUMMARY AND BACKGROUND OF SUBJECT MATTER:
The current resolution before the Council includes the Fifth Amendment to the CMaR contract. Article 5 - Payment Procedures, Section 5.02, of the Town Hall CMaR contract stipulates that the contract would be amended later to include provisions for payment of retainage. The Town Hall project is divided into 2 distinct phases, with 2 distinct scopes of work and schedules of values. The schedules for substantial completion and final completion for each phase were defined in the 3rd amendment. The General Contractor completed Phase 1 (new building addition) on time and on budget and provided all required closeout documentation for this phase. The Fifth Amendment includes provisions for retainage that allow final payment to be made to the General Contractor for the completed and occupied Phase 1 building addition only.

The Town will continue to hold retainage from General Contractor payment applications for the phase 2 scope of work (Historic Building Renovation) until final completion of that phase. The Fifth Amendment does not change the contract value or require additional allocation of funding.
